Terms of Service

These Terms of Service (the “Terms”) are an agreement between Catalyst Engine (“we”, “us”) and the organization or person using the Catalyst Engine platform (the “Customer”, “you”). By creating an account, inviting users, or otherwise using the service, you accept these Terms. If you are accepting on behalf of an organization, you confirm you have authority to bind it.

Catalyst Engine is a hiring, onboarding, and workforce-compliance platform: candidate pipeline tracking, job postings with public application pages, interview scheduling, onboarding checklists and document collection, certification tracking with expiry alerts, and reporting. Features may change over time; we will not materially reduce the core functionality of a paid plan during a paid term.

You must provide accurate account information and keep credentials confidential. You are responsible for activity under your accounts. Organization administrators control membership, roles, and access within their workspace, and are our point of contact for the Customer.

Paid plans are charged at the fees published on our pricing page or agreed in an order form. Fees are exclusive of applicable taxes, which you are responsible for. We may change fees with at least 30 days’ notice; changes apply from your next billing period.

The Customer owns all data submitted to its workspace, including candidate, employee, and organizational records (“Customer Data”). You grant us a limited license to host and process Customer Data solely to provide and secure the service.

The Customer is responsible for its use of the platform to process the personal information of its candidates and employees, including having a lawful basis for that processing, providing any required notices, and obtaining any required consents. We process Customer Data on the Customer’s instructions as described in our Privacy Policy.

You will not use the service to store or transmit unlawful or infringing material, attempt to breach or probe its security, interfere with its operation, scrape or resell access, or misrepresent your identity or hiring practices to applicants.

We retain all rights in the platform, its software, and its design. These Terms grant no rights in our trademarks or the service other than the right to use it in accordance with these Terms.

The service is provided “as is”. To the maximum extent permitted by law, we disclaim all implied warranties, and neither party is liable for indirect, incidental, or consequential damages. Our total liability under these Terms is limited to the fees you paid us in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

You may stop using the service and cancel at any time. We may suspend or terminate for material breach that remains uncured 30 days after notice, or immediately for a breach of section 6. For 30 days after termination, we will make Customer Data available for export on request, after which we may delete it.

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable in it. The courts located in Montreal, Quebec have exclusive jurisdiction over disputes arising from these Terms.

We may update these Terms. For material changes we will give at least 30 days’ notice by email or in-app notice. Continued use of the service after a change takes effect constitutes acceptance.
